Lus Acquisition Company, a company organized by Veber Partners, has acquired Lux Lighting, Inc.

Portland, Oregon - June 28, 2004 – Veber Partners, a leading boutique investment and merchant banking firm, has acted as a principal in the acquisition of Lux Lighting, Inc. (the “Company”) by Lux Acquisition Company, LLC (LUX).  The Company is a leading regional retailer of contemporary lighting fixtures and other unique home accessories.  Veber Partners negotiated, structured, and financed this acquisition by forming LUX to purchase the Company’s assets from the Company’s founders and current shareholders.  The acquisition of the Company was financed in part with equity provided by local private investors and Veber Partners.  The remainder of the financing was in the form of subordinated debt provided by private investors and a new asset-based credit facility provided by Capital Pacific Bank.

All of the current employees are expected to remain with the company.  In addition, LUX has recruited a new management team consisting of Mr. Dave Ellis and Ms. Ivy Garfield.  Mr. Ellis, the new President & CEO of Lux, has over 30 years of experience in the lighting industry.  Mr. Ellis comes to Lux from Atkinson Lighting, a lighting agency with offices in Seattle and Portland.  Prior to that, he was the former owner of Just Lights, Inc., a lighting agency representing over 75 lighting manufacturers which he successfully sold in 1999.  Ms. Garfield, Vice President of Lux, worked with Mr. Ellis at Just Lights, Inc. and prior to that managed a retail lighting store in Chicago.
